Hock Lian Seng Holdings Limited reported that every resolution tabled at its Annual General Meeting on Apr, 23 2026 was approved by poll, according to minutes released by the company.
Shareholders adopted the audited financial statements for the year ended Dec, 31 2025 and endorsed a first and final dividend of 1.125 Singapore cents per ordinary share, payable on May, 15 2026.
The meeting re-elected Lim Bok Ngam as Non-Executive Lead Independent Director, Chua Sher Kiong as Executive Director and Wong Siew Moh as Executive Director. Fees of 0.18 million Singapore dollars for non-executive and independent directors for FY2025 were sanctioned.
Ernst & Young LLP was re-appointed as external auditor until the next AGM. Investors also renewed the general mandate authorising directors to issue new shares and approved the continuation of the company’s share buy-back mandate, allowing repurchases of up to 10% of issued shares at up to 105% of the five-day average closing price for on-market trades and 120% for off-market purchases.
Poll results showed strong support, with each resolution garnering at least 99.76% of votes cast in favour. The meeting concluded without further business.
