Brilliance China Automotive Holdings Limited announced the appointment of Ms. Zhu Zheyu as an Independent Non-Executive Director (INED) and member of the Nomination Committee, effective 24 August 2026. The move completes the board’s diversity requirements and brings the company back into full compliance with Hong Kong Listing Rule 13.92 and Corporate Governance Code provision B.3.5.

Aged 43, Ms. Zhu is a founding partner of Cullinan Family Office and holds a Master of Science in Management Research from the University of Oxford. She is a Chartered Financial Analyst and has more than a decade of institutional investment advisory experience, including roles at Willis Towers Watson. Her career spans financial investment, new energy and cross-border business expansion, highlighted by leading the Hong Kong listing of a Mainland Chinese fuel-cell firm. Ms. Zhu also serves in several public-service capacities, such as Chairperson of the International New Energy Industry Alliance, and has received recognitions including “Hong Kong Businesswoman Leader” (2020) and the “Hong Kong Model Spirit Award” (2026).

Under a three-year letter of appointment, Ms. Zhu will receive annual emoluments of approximately HK$0.39 million, subject to yearly review by the Board’s remuneration committee. She will hold office until the next annual general meeting, when she becomes eligible for re-election, and has confirmed full compliance with HKEX independence guidelines.

Following the appointment, Brilliance China Auto’s Board comprises six directors: three executive directors—Mr. Zhang Yue (Chairman & CEO), Mr. Zhang Wei and Mr. Guo Hongbo—and three INEDs—Mr. Song Jian, Mr. Jiang Bo, Mr. Dong Yang, alongside newly appointed Ms. Zhu Zheyu. The enhanced board structure satisfies the exchange’s diversity and independent oversight requirements.
