CStone Pharmaceuticals will hold its Annual General Meeting on 23 June 2026 at 10:00 a.m. in Shanghai. The agenda covers eight ordinary resolutions:
1. 2025 Results Shareholders will review the audited consolidated financial statements and the reports of the directors and auditor for the year ended 31 December 2025.
2. Board Composition Six directors—Dr. Jianxin Yang (executive), Mr. Kenneth Walton Hitchner III and Mr. Edward Hu (non-executive), and Mr. Kenneth Howard Jarrett, Ms. Fang Xie and Ms. Catherine Yen (independent)—are standing for re-election.
3–4. Director and Auditor Remuneration The board seeks authority to determine directors’ fees and to re-appoint Deloitte Touche Tohmatsu as external auditor, with power to fix its remuneration.
5. General Issuance Mandate Directors request a mandate to allot and issue shares or convertible securities up to 20% of the company’s issued share capital, with standard exclusions for rights issues, employee share schemes, scrip dividends and existing convertible instruments. The mandate also permits offers and agreements that might be exercised after the mandate’s expiry and is constrained by Hong Kong Listing Rules, including pricing limits on discounted convertibles and warrants.
6. Share Buy-back Mandate A separate authority would allow on-market repurchases of up to 10% of issued shares during the mandate period.
7. Extension Mandate Conditional on passing the two mandates above, the issuance limit may be increased by the number of shares bought back, capped at an additional 10% of issued capital.
8. Equity Grants to CEO Shareholders will vote on granting Dr. Jianxin Yang: • 7.00 million share options under the Post-IPO ESOP at an exercise price of HK$5.65 per share. • 4.27 million restricted share units under the Post-IPO RSU Scheme.
Administrative Details • Shareholders registered by 4:30 p.m. on 16 June 2026 are entitled to attend and vote. • The register will be closed from 17–23 June 2026, inclusive. • Proxy forms must be lodged by 10:00 a.m. on 21 June 2026.
The board states it has no immediate plans to issue new shares or execute buy-backs under the proposed mandates.
