1957 & Co. Posts Zero Share-Capital Movement, Public Float Remains Compliant in March 2026

1957 & Co. (Hospitality) Limited submitted its monthly return to Hong Kong Exchanges and Clearing Limited for the period ended 31 March 2026, confirming that both authorised and issued share capital remained unchanged during the month.

Authorised share capital closed at 3.80 billion ordinary shares with a par value of HKD 0.0001 each, equivalent to HKD 0.38 million.

Issued share capital stood at 384.00 million ordinary shares, with no treasury shares held or cancelled. Consequently, total issued shares also remained at 384.00 million.

The company affirmed compliance with the minimum 25% public-float requirement under GEM Rule 17.37D(1).

Regarding equity incentives, there were no outstanding share options and no new grants, exercises or cancellations in March. The 2017 Share Option Scheme still allows up to 32.00 million additional shares to be granted. No warrants, convertible securities or other share-issuance arrangements were reported.

Executive Director Lau Ming Fai signed off on the filing dated 1 April 2026.
