SIIC Environment provides further details on 100% equity acquisition

SIIC Environment Holdings Ltd. (BHK) released an additional announcement on Apr, 17 2026 concerning its planned purchase of the entire equity interest in its designated target companies.

The firm confirmed that the valuation of the target group, dated Feb, 06 2026 and prepared by China Securities (Shanghai) Asset Appraisal Co., Ltd., employed a discounted cash-flow method under the income approach. Because of this methodology, the valuation constitutes a profit forecast under Rule 14.61 of the Hong Kong Listing Rules.

Core assumptions behind the forecast include: (1) a transaction assumption that the assets are in the course of being transacted; (2) an open-market assumption involving free trading in a fully competitive market; (3) a going-concern assumption; and (4) general assumptions regarding stability in laws, macro-economic conditions, tax policies, management capability, accounting policies and the absence of unforeseen adverse events.

Deloitte & Touche LLP reviewed the arithmetic accuracy of the discounted cash-flow calculations and, in a report dated Apr, 17 2026, stated that the forecast was properly compiled in all material respects in accordance with the stated assumptions.

The board of SIIC Environment has examined the valuation, considered Deloitte & Touche LLP’s findings, and confirmed that the valuation was made after due and careful enquiry.
