Chow Tai Fook Jewellery Group Limited reported that Independent Non-Executive Director (INED) Mr Kwong Che-Keung, Gordon, who chaired the Audit Committee and served on the Remuneration Committee, passed away on 6 July 2026. Mr Kwong had held the INED role since 2011, providing 15 years of board oversight.

With Mr Kwong’s passing, he has ceased to serve as INED, Audit Committee chairman and Remuneration Committee member. The Board confirmed that its composition remains compliant with Hong Kong Listing Rules and will address the vacant Audit Committee chairmanship at the next board meeting, with further announcements to follow.

Consequently, Ordinary Resolution 3(c) concerning Mr Kwong’s re-election as an INED, listed in the circular and notice for the Annual General Meeting (AGM) scheduled on 22 July 2026, has been withdrawn and will not be tabled for shareholder vote. All other AGM arrangements, including date, time, venue and remaining resolutions, remain unchanged; previously lodged proxy forms stay valid except that no poll will be taken on the withdrawn resolution.
