MEGAIN Holding (Cayman) Co., Ltd. will convene an extraordinary general meeting (EGM) via its eVoting Portal on Monday, 29 June 2026 at 11:30 a.m. (or immediately after the annual general meeting). Independent shareholders will vote by poll on the Subscription Agreements and the related specific mandate authorising the allotment and issuance of Subscription Shares.

To establish voting eligibility, the company will close its register of members from Wednesday, 24 June 2026 to Monday, 29 June 2026, inclusive. No share transfers will be registered during this period. Shareholders must ensure that duly completed transfer documents, together with the relevant share certificates, reach Tricor Investor Services Limited (17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong) by 4:30 p.m. on Tuesday, 23 June 2026 to be entered on the register as of 29 June 2026.

The board currently comprises one executive director (Chairman Cheng Hsien-Wei), two non-executive directors (Lam Tsz Leung and Yu Erhao) and three independent non-executive directors (Chen Mark Da-jiang, Kao Yi-Ping and Li Huaxiong).
