CONCH MAT TECH Plans to Double 2026 Export Framework Cap to RMB180 Million; EGM Set for 4 September 2026

Anhui Conch Material Technology Co., Ltd. (“CONCH MAT TECH”) has signed a supplemental agreement with Anhui Technology Import & Export Company Ltd. to raise the 2026 annual transaction cap under their Export Sales and Services Framework Agreement from RMB 90.00 million to RMB 180.00 million.

The revision follows stronger-than-expected demand: actual transactions for the first half of 2026 have already reached approximately RMB 70.40 million—about 78.2% of the original full-year limit. Management projects that orders from existing overseas customers in France, Switzerland, Taiwan, Turkey, Saudi Arabia, and Uzbekistan, plus two new customers in Turkey and Vietnam, could lift full-year sales to roughly RMB 180 million, including a RMB 1.10 million buffer for potential additional demand.

Under the framework, CONCH MAT TECH exports admixture products, their intermediates, and related raw materials through Anhui Tech Import & Export, which also provides customs clearance, settlement, and logistics arrangements. Pricing is set through weekly or monthly benchmarks tied to raw-material costs, market prices, and projected gross margins, with any deviation requiring approval by the company’s pricing management committee.

Because Anhui Tech Import & Export is indirectly majority-owned by Conch Holdings—a controlling shareholder of CONCH MAT TECH—the transactions constitute continuing connected transactions under Chapter 14A of the Hong Kong Listing Rules. Independent shareholders must approve the new cap. Pelican Financial Limited has been appointed as the independent financial adviser, and the Independent Board Committee has recommended voting in favour.

An extraordinary general meeting will be held at 10 a.m. on 4 September 2026 in Wuhu, Anhui Province. Conch Tech Innovation and its associates, which collectively hold about 36.47% of CONCH MAT TECH’s issued shares, will abstain from voting on the resolution.

The company estimates export service fees charged by Anhui Tech Import & Export for 2026 will not exceed RMB 0.40 million, a level fully exempt under Listing Rule 14A.76(1). All other terms of the framework agreement remain unchanged.
