1. Share Issuance Authority • Directors seek a general mandate to allot, issue or deal with shares up to 20 % of the company’s issued share capital (excluding treasury shares) during the mandate period, inclusive of any treasury-share sales or transfers.
2. Share Repurchase Authority • Separate approval sought to repurchase up to 10 % of issued share capital (excluding treasury shares) on the Stock Exchange of Hong Kong or other recognised exchanges.
3. Extension Mandate • Subject to the above resolutions passing, repurchased shares (up to 10 % of issued capital) may be added to the 20 % issuance mandate.
