Concord New Energy Schedules 25 June 2026 AGM; Board Proposes HK$0.003 Final Dividend and New Share Issuance Mandate

Concord New Energy Group Limited will convene its 2026 annual general meeting (AGM) on 25 June 2026 at 10:00 a.m. in Hong Kong (Room 4901, 49/F, Sun Hung Kai Centre, 30 Harbour Road).

Key agenda items

1. FY2025 Results Adoption • Shareholders will vote on the adoption of the audited financial statements and the directors’ and independent auditor’s reports for the year ended 31 December 2025.

2. Board Composition and Remuneration • Re-election of four retiring directors: Mr. Liu Shunxing, Mr. Zhai Feng, Ms. Huang Jian and Mr. Jesse Zhixi Fang. • Authorisation for the board to set directors’ remuneration.

3. Dividend Proposal • Final cash dividend proposed at HK$0.003 per share for FY2025. • Share transfer books will be closed 3–7 July 2026; record date for dividend entitlement is 7 July 2026. • To qualify, share transfers must be lodged by 4:30 p.m. on 2 July 2026 (Hong Kong register) or 5:00 p.m. Singapore time on 7 July 2026 (Singapore register).

4. Auditor Re-appointment • KPMG is nominated for re-appointment as independent auditor, with board-determined remuneration.

Special business mandates

1. Share Issuance Authority • Directors seek a general mandate to allot, issue or deal with shares up to 20 % of the company’s issued share capital (excluding treasury shares) during the mandate period, inclusive of any treasury-share sales or transfers.

2. Share Repurchase Authority • Separate approval sought to repurchase up to 10 % of issued share capital (excluding treasury shares) on the Stock Exchange of Hong Kong or other recognised exchanges.

3. Extension Mandate • Subject to the above resolutions passing, repurchased shares (up to 10 % of issued capital) may be added to the 20 % issuance mandate.

Board and governance

The current board comprises six executive directors (including Chairman Mr. Liu Shunxing and CEO Mr. Niu Wenhui), one non-executive director and five independent non-executive directors.

Operational continuity

The notice emphasises that the AGM will proceed unless a typhoon signal No. 8/black rainstorm warning is in force after 8 a.m. on the meeting day, in which case alternative arrangements will be announced.
