Xiaomi Cuts Outstanding Shares by 57.29 Million, Continues Buy-back Programme and Adjusts Weighted-Voting Structure

Xiaomi Corporation disclosed multiple capital actions dated 25 June 2026 that collectively lowered its outstanding share base and re-balanced its weighted-voting rights (WVR):

1. Share cancellation • 57.81 million Class B shares repurchased between 27 April and 29 May 2026 were cancelled on 25 June 2026. • After offsetting 0.52 million new Class B shares issued for employee incentives, total issued shares fell to 25.78 billion, down 57.29 million (0.22%) from 23 June 2026.

2. Ongoing repurchases • On 25 June 2026 Xiaomi bought back an additional 9.00 million Class B shares on the Hong Kong Exchange at HKD 22.04–22.34, spending HKD 200.26 million. • Including earlier trades from 3–23 June 2026, 61.96 million shares are repurchased but not yet cancelled. Prices for these trades ranged from HKD 22.25 to HKD 28.65.

3. WVR alignment • To keep the proportion of WVR shares unchanged after the cancellation, 9.96 million Class A shares (carrying 10 votes each) were converted into Class B shares (1 vote each) on a one-to-one basis, in line with Listing Rule 8A.21.

4. Updated share balances (25 June 2026) • Class B: 21.34 billion shares (-0.22% versus 23 June). • Class A: 4.44 billion shares (-9.96 million from conversion). • Combined: 25.78 billion shares outstanding.

5. Buy-back headroom The 2 June 2026 mandate allows repurchase of up to 2.58 billion shares. Xiaomi has utilised 61.96 million shares, equal to 0.24% of the shares outstanding on the mandate date. A 30-day moratorium on new share issues runs until 25 July 2026.

No other treasury-share sales were reported. Xiaomi confirms all transactions complied with Hong Kong listing rules and applicable regulations.
