C CARBONNEUTRAL expands outstanding shares by 99.59 million; raises about HK$78.06 million via option exercise and HK$0.80 placement

China Carbon Neutral Development Group Limited (abbreviation: C CARBONNEUTRAL) has increased its issued share capital by a total of 99.59 million ordinary shares, according to the company’s Next Day Disclosure Return filed with the Hong Kong Stock Exchange on 17 June 2026. The enlarged share base now stands at 980.48 million shares, up 10.16% from the 880.89 million shares outstanding as at 31 May 2026.

Key transactions 1) Option exercise (2 June 2026): • 3.00 million new shares issued upon exercise of options by a non-director holder. • Issue price: HK$0.262 per share. • Incremental increase: 0.31% of pre-event share capital. • Gross proceeds: approximately HK$0.79 million.

2) Placing/subscription under general mandate (17 June 2026): • 96.59 million new shares issued. • Issue price: HK$0.80 per share. • Incremental increase: 9.85% of pre-event share capital. • Gross proceeds: approximately HK$77.27 million.

Post-transaction share capital • Closing issued shares (excluding treasury shares): 980.48 million. • No treasury shares were held before or after the transactions. • The company reported no share repurchases or treasury share sales during the period.

The board confirmed that both issuances were duly authorised and executed in compliance with Hong Kong Stock Exchange listing rules and relevant regulatory requirements.
