GUOQUAN Plans to Allocate Up to 100 Million Repurchased Shares for Potential Equity Incentive Scheme

The board of GUOQUAN (02517) has announced a proposal regarding the use of previously repurchased shares. As of the date of this announcement, the company has repurchased a total of 176 million shares under general mandates granted at its 2023, 2024, and 2025 annual general meetings. These shares may be cancelled or held in treasury.

The company now intends to allocate up to 100 million shares from this pool of repurchased stock as one potential source of shares for an employee share scheme, which is expected to be proposed for adoption within the next six months, subject to necessary approvals. The remaining shares from the repurchased total are anticipated to be cancelled within the same six-month period.

Furthermore, the company stated that any future share buybacks executed under the general mandate granted at the 2025 annual general meeting will be used entirely for cancellation, unless otherwise required by applicable laws, regulations, or shareholder resolutions, or as determined by the board.
