Eastroc Beverage (Group) Co., Ltd. disclosed a material change in its share capital on 29 June 2026. Pursuant to the 2025 profit distribution plan approved on 29 April 2026, the company issued capitalization (bonus) shares at a ratio of three new shares for every ten shares held, funded through its capital reserve.

As a result, the number of issued H shares rose by 13.43 million, or 30%, expanding from 44.76 million to 58.18 million. No treasury shares were involved in the transaction, and the total H-share count now stands at 58.18 million.

The company’s A-share structure, listed on the Shanghai Stock Exchange, remained unchanged at 668.89 million issued shares, of which 7.12 million are held as treasury shares, maintaining a combined total of 676.02 million A shares.

Eastroc Beverage confirmed that the capitalisation issue was fully authorised by the board, satisfied all applicable Hong Kong Stock Exchange listing requirements, and that all proceeds and regulatory filings have been duly completed.
