NEW HIGHER EDU Secures HKEX Waiver to Postpone Circular on Major Disposal

China New Higher Education Group Limited (NEW HIGHER EDU) confirmed on 24 June 2026 that Hong Kong Exchanges and Clearing Limited and The Stock Exchange of Hong Kong Limited have granted a waiver allowing the Company to delay despatch of its shareholder circular for the proposed disposal of its entire equity interest in the Target Company—classified as a major transaction under the Listing Rules.

The Group had previously disclosed the planned disposal on 29 May 2026 and announced on 22 June 2026 that additional time was needed to complete the information required for the circular. Pursuant to Rule 14.41(a) of the Listing Rules, listed issuers must send a circular within 15 business days after a major transaction announcement; however, NEW HIGHER EDU sought an extension to 6 July 2026. The Stock Exchange approved the requested waiver, though it reserves the right to modify or withdraw the relief should circumstances change.

The Company’s board currently comprises three executive directors—Li Xiaoxuan (Chairman), Zhao Shuai and Chan Tung Hoi—and three independent non-executive directors—Kwong Wai Sun Wilson, Dr. Pang Tsz Kit Peter and Wong Ka Ki Ada.
