UISEE TECH released an updated outline of shareholder procedures for calling general meetings, clarifying timelines and thresholds under its Articles of Association and Hong Kong Listing Rules.
Annual General Meeting (AGM) • The company must hold an AGM for every financial year within six months after the fiscal year-end. • A minimum 21-day written notice is required. • Shareholders cannot add new resolutions to the AGM agenda; any additional matters must be raised via an Extraordinary General Meeting (EGM).
Extraordinary General Meeting (EGM) – Shareholder Requisition Mechanism • A 15-day written notice is mandatory for any EGM. • One or more shareholders holding at least 10% of the company’s paid-up voting share capital may demand an EGM through a written requisition. • The signed requisition must specify the proposing shareholder(s), shareholdings, reasons, agenda and proposed business, and be delivered to the Company Secretary at the Hong Kong principal place of business (Shop Nos. 202-203, 2/F, Regal Airport Hotel, 9 Cheong Tat Road, Chek Lap Kok, New Territories).
Board Response and Timing • Upon receipt, the company verifies shareholder identity and shareholdings. • If the requisition is valid, the Board must reply within 10 days and convene the EGM within two months. • Should the Board fail to act within the 10-day window, the requesting shareholder(s) may convene the meeting themselves, with reasonable expenses reimbursed by the company.
The clarified framework strengthens transparency around shareholder rights to propose and convene meetings, ensuring alignment with both UISEE TECH’s Articles and Hong Kong listing regulations.
