Xinyi Solar Announces Retirement of Executive Director Chu Charn Fai and Appoints Lam Chi Kwong as Financial Controller and Company Secretary

Xinyi Solar Holdings Limited (Xinyi Solar) released an announcement on 14 August 2026 detailing senior‐management changes that will take effect at the end of August.

Executive director Chu Charn Fai will retire on 31 August 2026. His departure will simultaneously end his positions as financial controller, company secretary, and authorised representative under Listing Rule 3.05. Chu confirmed he has no disagreement with the board and noted no other matters require shareholder attention. The board conveyed its appreciation for his service and stated that an immediate replacement executive director is not necessary; a future appointment will be considered when appropriate.

Effective 1 September 2026, Lam Chi Kwong will become the Group’s financial controller, company secretary, and authorised representative. Lam, aged 43, joined Xinyi Solar in October 2023 as a senior financial manager. His background includes 13 years in auditing and accounting—eight of which were spent at PricewaterhouseCoopers—alongside experience in other commercial and professional firms. Lam is a member of the Hong Kong Institute of Certified Public Accountants and holds a 2007 bachelor’s degree in business administration from Sun Yat‐sen University.

After the announced changes, Xinyi Solar’s board will comprise two non-executive directors, four executive directors, and three independent non-executive directors.
