Ju Fu Tang Biotech Holdings Co., Ltd will hold its 2026 Annual General Meeting on 10 September 2026 at 11:00 a.m. (Portion 2, 12/F, The Center, 99 Queen’s Road Central, Hong Kong).
Key resolutions to be tabled:
• FY26 Results Adoption Shareholders will consider and, if appropriate, adopt the audited consolidated financial statements, together with the directors’ and auditors’ reports, for the financial year ended 31 March 2026.
• Board Remuneration & Director Rotation – Authorisation for the board to determine directors’ remuneration. – Re-election of executive director Ms Yu Xiao and independent non-executive director Ms Lao In Iam.
• Auditor Reappointment Infinity CPA Limited is proposed for re-appointment as external auditor, with the board authorised to fix its remuneration.
• Share Issuance Mandate An unconditional general mandate will be sought to allot, issue or deal with additional shares and securities convertible into shares up to 20% of the company’s issued share capital as at the date of the AGM. The mandate also covers the granting of options, warrants or similar rights.
• Share Repurchase Mandate The board seeks authority to repurchase up to 10% of the company’s issued shares on the GEM or other recognised exchanges during the mandate period.
• Mandate Extension Subject to the above mandates passing, the share issue mandate may be extended by the nominal amount of shares repurchased under the buy-back mandate, capped at a further 10% of issued share capital.
Administrative details:
• Register Closure: 7–10 September 2026 (both dates inclusive). To qualify for attendance and voting, shareholders must lodge transfer documents with Tricor Investor Services Limited by 4:30 p.m. on 4 September 2026. • Proxy Submission: Forms must reach Tricor Investor Services Limited at least 48 hours before the meeting. • Contingency: If Typhoon Signal No. 8 or above, a “black” rainstorm warning, or “extreme conditions” is in force after 7:00 a.m. on 10 September 2026, the AGM will be postponed; a revised schedule will be announced on HKEx and the company’s website.
