Madison Holdings Group Limited proposes a comprehensive capital action that includes:
• Authorised share capital to double to HK$20.00 million through the creation of 1.00 billion additional shares (par HK$0.01).
• Share consolidation on the basis of 10 existing shares into 1 consolidated share (par HK$0.10). Post-consolidation issued share capital will be 62.31 million consolidated shares, assuming no further share movement.
• Non-underwritten rights issue of up to 93.47 million consolidated shares, offered at HK$0.486 per rights share on the basis of three rights shares for every two consolidated shares held on the 28 May 2026 record date. – Gross proceeds: approximately HK$45.43 million; net proceeds: about HK$42.79 million. – Subscription price represents a 40.00% discount to the HK$0.81 theoretical closing price per consolidated share on the last trading day (5 March 2026) and implies a theoretical dilution effect of 24.00% for non-subscribing shareholders. – No excess application. Unsubscribed and non-qualifying entitlements will be placed on a best-effort basis by Advent Securities (Hong Kong) Limited; any net premium will be returned pro-rata to relevant shareholders.
• Intended use of net proceeds: – HK$24.80 million to settle part of a shareholder loan due by August 2026. – HK$14.99 million to repay high-interest borrowings. – Approximately HK$3.00 million for general working capital.
• A scale-down mechanism will be applied to prevent any shareholder from breaching the Hong Kong Takeovers Code threshold.
• An extraordinary general meeting will be held on 14 May 2026 to approve the increase in authorised share capital, share consolidation, rights issue, amendments to the memorandum and articles, and related placing arrangements.
