Asia Cement (China): Independent Shareholders Approve Supplemental Agreements with 99.81% Support

Asia Cement (China) Holdings Corporation reported that its sole ordinary resolution at the 7 August 2026 Extraordinary General Meeting (EGM) passed with overwhelming backing from independent shareholders.

The resolution—which sought to approve, confirm and ratify a series of Supplemental Agreements, their related transactions and proposed annual caps—secured 79.50 million votes in favour, representing 99.81 % of the 79.65 million shares cast. Votes against totalled 0.16 million shares, or 0.19 %.

Asia Cement Corporation and its close associates, collectively holding 1.14 billion shares (about 73 % of the company’s issued share capital), were required to and did abstain from voting. Consequently, the maximum voting pool comprised 430.78 million shares held by independent shareholders.

Tricor Investor Services Limited acted as scrutineer, and the full board of directors attended the meeting. The successful passage of the resolution authorises any one director to take all necessary steps to implement the Supplemental Agreements and related transactions.
