Standard Chartered Trims Share Count by 3.90 Million Shares via Buy-back; Two Additional Tranches Pending Cancellation

Standard Chartered PLC disclosed a series of share repurchases that reduced its issued share capital by 3.90 million shares on 27 May 2026, following the cancellation of shares bought between 18 and 22 May 2026. The transaction details are as follows:

• Share cancellations: 3.90 million ordinary shares were cancelled on 27 May 2026, representing 0.18 % of the 2.21 billion shares outstanding prior to the event. • Post-cancellation share base: The issued share count fell to 2.21 billion shares. • Repurchase prices: The five cancelled tranches were bought at volume-weighted average prices ranging from GBP 18.98 to GBP 19.42 per share.

Additional outstanding tranches • Two further repurchase batches—759,388 shares (26 May) at GBP 19.79 and 751,200 shares (27 May) at GBP 19.97—remain in issue pending cancellation. • Once cancelled, these purchases will lower the share base by a further 1.51 million shares.

Latest buy-back activity On 27 May 2026, Standard Chartered acquired 751,200 shares across the London Stock Exchange, CBOE BXE and CBOE CXE at prices between GBP 19.77 and GBP 20.11, spending GBP 15.00 million in aggregate. All shares from this day’s transactions are earmarked for cancellation.

Mandate utilisation Since shareholders approved the buy-back mandate on 7 May 2026 (authorising repurchases of up to 221.63 million shares), the bank has repurchased 10.11 million shares, equivalent to 0.46 % of shares outstanding at the mandate date.

The ongoing buy-back programme will continue until the 2027 annual general meeting or 6 August 2027 (whichever comes first), subject to available mandate capacity and market conditions.
