Guotai Haitong Securities: President Li Junjie Steps Down; Chairman Zhu Jian Takes Interim Helm

Guotai Haitong Securities Co., Ltd. (GTHT) announced that Executive Director and President Mr. Li Junjie resigned from all corporate and subsidiary positions on 5 July 2026, citing work-related redeployment. His departure became effective immediately upon delivery of his written resignation to the Board.

The Board confirmed that Mr. Li has no disagreements with either the directors or the Company and that his exit does not reduce the Board below the statutory headcount. All operations and governance functions are expected to continue without disruption.

In an extraordinary Board meeting held the same day, directors unanimously approved a resolution appointing Chairman Mr. Zhu Jian to perform the president’s duties on an interim basis until a successor is named. This temporary dual role diverges from Corporate Governance Code provision C.2.1, which recommends the separation of chairman and chief executive functions. The Board stated that Mr. Zhu’s extensive knowledge of the Company’s operations and the oversight of remaining directors provide sufficient checks and balances during the transition.

Mr. Li retains a voluntary commitment made on 5 February 2026 not to dispose of or request repurchase of his restricted A-share holdings for 12 months following the 12 February 2026 unlocking date. This undertaking remains in force despite his resignation.

The Board expressed appreciation for Mr. Li’s contributions, highlighting his role in advancing the strategy of building GTHT into a “top-tier investment bank with international competitiveness and market leadership” and in maintaining the Company’s industry-leading performance.
