Major Shareholders of Luyuan Group Holdings Grant Purchase Options to Su Qingdong and Shi Qingliu

LUYUAN GP HLDG (ASX: 02451) has announced that the company's board has been informed by its controlling shareholders, Apex Marine Investments Limited and Drago Investments Limited (collectively referred to as the "Sellers"). On June 22, 2026, each Seller entered into separate sale and purchase agreements with Su Qingdong and Shi Qingliu (the "Buyers").

Under these agreements, each Seller has granted the respective Buyer an option. This option allows the purchase of 20 million company shares, representing approximately 4.88% of the total issued shares excluding treasury shares, at an exercise price of HK$9.00 per share. The purchase can be executed in one or multiple tranches, contingent upon the fulfillment of the conditions precedent outlined in the relevant agreement.

Each Buyer holds the right to exercise their option at any time up to the third anniversary of their respective agreement's date. Should the options be exercised in full, the total consideration payable by each Buyer to the corresponding Seller for the sale shares would amount to HK$180 million.

Mr. Su Qingdong is a member of the 14th National Committee of the Chinese People's Political Consultative Conference, Chairman of the Board of Hong Kong Zhongjin Financial Co., Ltd., Chairman of the Hong Kong Provincial CPPCC Members Association, Executive Vice President and Secretary-General of the Hong Kong China Friendship Association, a council member of the China Overseas Friendship Association, Chairman of the International Culture and Arts Promotion Association, and a member of the Election Committee of the Hong Kong Special Administrative Region.

Mr. Shi Qingliu is a member of the 13th and 14th National Committees of the Chinese People's Political Consultative Conference, Chairman of the Hong Kong Fujian Community Association, and Chairman of Longcheng International (Group) Co., Ltd.

The board was informed by the Sellers that they believe the proposed share transfer, if completed, will introduce the Buyers as shareholders. This move is expected to broaden the company's shareholder base and enhance the diversity of its ownership structure.

Furthermore, considering the Buyers' extensive business experience and established networks, particularly in Southeast Asia, the Sellers are of the view that their involvement will assist the company in leveraging these connections to expand its market presence in Southeast Asia and further solidify its regional footprint.
