Morgan Stanley Capital Services Discloses Zero-Net Derivative Trades in ENN Energy Amid Privatisation Process

Hong Kong, 9 June 2026 – In connection with the proposed privatisation of ENN Energy Holdings Limited by way of scheme of arrangement, Morgan Stanley Capital Services LLC (MSCS) has filed a Rule 22 disclosure with the Securities and Futures Commission, detailing derivative transactions executed on 8 June 2026.

According to the submission, MSCS—classified as a Class (5) associate of the offeror—entered into four separate “unsolicited client facilitation” trades linked to ENN Energy shares:

• Purchases  – 300 derivative contracts maturing 21 May 2027 at a reference price of USD 50.4333 per contract, for a total consideration of USD 0.02 million.  – 2,273 derivative contracts maturing 31 May 2033 at a reference price of USD 50.4354 per contract, for a total consideration of USD 0.11 million.

• Sales  – 300 derivative contracts maturing 21 May 2027 at the same reference price of USD 50.4333, generating proceeds of USD 0.02 million.  – 2,273 derivative contracts maturing 31 May 2033 at the same reference price of USD 50.4354, generating proceeds of USD 0.11 million.

The identical purchase and sale volumes leave MSCS with a resultant net position of zero in these ENN Energy–linked derivatives. All transactions were conducted for MSCS’s own account.

MSCS is ultimately owned by Morgan Stanley. The disclosure forms part of ongoing monitoring requirements during ENN Energy’s privatisation process under the Hong Kong Code on Takeovers and Mergers.
