First Real Estate Investment Trust has convened a meeting of holders of its 100 million Singapore dollars 3.25% Guaranteed Bonds due 2027 (ISIN: SGXF83155931) on Jul, 22 2026 at 9:30 a.m. (Singapore time) at 63 Chulia Street, OCBC Centre East, Singapore.
The trust is asking bondholders to pass an Extraordinary Resolution that would:
• Add a five-business-day issuer call option permitting the trust to redeem all outstanding bonds at a make-whole amount plus accrued interest. • Replace the existing redemption clause to reflect the new call option. • Waive any non-compliance with specified trust deed covenants, potential defaults and breaches stemming from planned and potential divestments. • Authorise the trustee to make related amendments to the bond documents via a supplemental trust deed.
Bondholders who submit voting instructions in favour of the resolution by 5:00 p.m. on Jul, 15 2026 (the “Early Consent Fee Deadline”) and appoint the meeting agent’s designated proxy will receive an early consent fee of 0.50% of principal. Those voting in favour after that deadline but before the 9:30 a.m. Expiration Time on Jul, 20 2026, or who attend the meeting in person and vote for the resolution, will be eligible for a normal consent fee of 0.25%.
Passing the resolution requires at least 75% approval of votes cast. If approved, and following execution of the supplemental trust deed, the issuer intends to exercise the new call option within 60 business days after completing the proposed asset divestments, redeeming all outstanding bonds at the calculated make-whole amount.
