DMALL Repurchases 17.82 Million Shares in June, Outstanding Share Count Drops to 870.14 Million

DMALL (02586.HK) filed its Monthly Return for the period ended 30 June 2026, detailing a sizeable share buy-back and a minor share issuance under incentive schemes.

Total authorised capital remained unchanged at 2.50 billion ordinary shares with a par value of USD 0.0001 each, equivalent to USD 0.25 million.

Issued and treasury share movements • Opening balance (31 May 2026): 887.95 million shares outstanding and 49.54 million treasury shares, for 937.49 million total issued shares. • Share repurchases: 17.82 million shares were repurchased and moved into treasury, comprising 4.25 million shares repurchased on 23 May 2025 and 13.57 million shares on 5 June 2026. • Share issuance: 18,750 new shares were issued on vesting of restricted share units (RSUs) under the 2020 Share Incentive Plan. No option exercises were recorded during the month. • Closing balance (30 June 2026): 870.14 million shares outstanding (down 17.81 million), 67.37 million treasury shares (up 17.82 million) and 937.51 million total issued shares.

Incentive scheme update • 2016 Share Incentive Plan: 28.26 million options remain outstanding; no exercises or lapses occurred. • 2020 Share Incentive Plan: outstanding options declined by 0.12 million to 27.43 million; 18,750 RSUs vested and 10,000 RSUs were cancelled, leaving 3.88 million RSUs available for future vesting. • 2024 First and Second Share Incentive Plans: no option exercises; 5.69 million options outstanding under the Second Plan and 44.33 million options available for future grants across both 2024 plans.

Public float The company confirmed compliance with the Hong Kong Stock Exchange’s minimum public-float requirement of 25% of issued shares (excluding treasury shares).

No proceeds were raised from option exercises during the month, and all corporate actions were executed in accordance with Hong Kong listing regulations.
