Zai Lab Reports Flat Share Count for July 2026; 1.14 B Issued Shares, No New Equity Raised

Hong-Kong-listed biopharma company Zai Lab Limited (Zai Lab) filed its Monthly Return for Equity Issuer for the period ended 31 July 2026, confirming that both authorised and issued share capital remained unchanged during the month.

Authorised & Issued Capital • Authorised share capital held steady at 5.00 billion ordinary shares with a par value of USD 0.000006, equal to USD 30,000. • Issued shares (excluding treasury stock) closed the month at 1.14 billion, identical to the June 2026 level. No treasury shares are held. • Public float compliance was maintained, with 469.54 million shares—equivalent American Depositary Shares (ADSs)—held by public investors, comfortably above the 25% regulatory threshold.

Equity Incentive Plans – Option Activity • Aggregate outstanding share options fell by 1.19 million to 74.46 million. – 2015 Equity Incentive Plan: 116,300 options outstanding (no change). – 2017 Plan: 27.29 million options outstanding after 121,930 lapsed. – 2022 Plan: 30.78 million options outstanding after 472,090 lapsed. – 2024 Plan: 16.28 million options outstanding, reflecting 20,000 new grants and 617,720 lapses. • No options were exercised; therefore, Zai Lab raised no proceeds from option exercises in July.

Restricted and Performance Share Units As of 31 July 2026, unvested awards totalled 21.86 million shares: • 582,950 RSUs under the 2017 Plan. • 5.11 million RSUs under the 2022 Plan. • 13.94 million RSUs and 2.23 million PSUs under the 2024 Plan. All July vesting events were settled using existing issued shares, and 912,910 RSUs/PSUs lapsed during the month.

Capital Instruments and Treasury Shares • The company reported no outstanding warrants, convertible securities or other share-issuance agreements beyond the disclosed incentive plans. • No treasury share transactions occurred in July.

Outlook With an unchanged share base, continued public-float compliance and no dilution from option exercises or new share issuances, Zai Lab’s capital structure remains stable heading into the second half of 2026.
