Minerva Group AGM Clears All Ordinary and Special Resolutions with Near-Unanimous Support

Minerva Group Holding Limited reported that every item on the agenda of its 26 June 2026 annual general meeting passed by poll with overwhelming majorities.

Key voting metrics • Issued share capital on the meeting date: 2.28 billion shares, all entitled to vote. • Shares actually voted on each resolution: 445.29 million “for” versus 40 “against,” translating to 99.99% support across all motions.

Ordinary resolutions endorsed 1. Adoption of the audited financial statements and accompanying directors’ and auditor’s reports for the year ended 31 December 2025. 2. Re-election of independent non-executive directors Ms. Chan Lai Ping, Ms. Tam Mei Chu and Mr. Ho Yuen Tung, and authorisation for the board to set directors’ remuneration. 3. Reappointment of CCTH CPA Limited as external auditor, with the board authorised to fix its fees. 4. General mandate allowing the board to repurchase up to 10% of issued shares. 5. General mandate permitting the board to allot and issue up to 20% of issued shares. 6. Extension mandate enabling any repurchased shares to be added to the general issuance limit.

Special resolution adopted • Approval of amendments to the company’s bye-laws and adoption of a new set of bye-laws. The proposal secured 99.99% support, comfortably above the 75% threshold required for special resolutions.

Administrative notes Tricor Investor Services Limited acted as the scrutineer for vote-counting. All directors attended the AGM.
