China Hongqiao Proposes Issuance of RMB-Denominated, USD-Settled Convertible Bonds

China Hongqiao (01378) has announced its proposal to conduct an international offering of convertible bonds. These bonds, denominated in Renminbi but settled in US dollars, will be issued solely to professional investors. Several investment banks have been appointed as bookrunners and placing agents for the proposed bond issuance. Concurrently with the bond offering, the placing agents intend to facilitate the sale of existing shares by bond purchasers who wish to conduct a covered short sale of the related shares. The company plans to purchase a portion of the shares sold in this simultaneous equity offering. The bond issuance constitutes a major transaction. The simultaneous equity offering is expected to assist investors seeking to hedge their bond investments with initial hedging. Furthermore, a concurrent share repurchase is anticipated to help establish more favorable pricing terms for the bonds and mitigate potential adverse effects on the share price. The share repurchase will be funded from existing cash reserves, and the intended use of the bond proceeds is unrelated to this buyback activity. The Board of Directors believes this repurchase initiative reflects the confidence of the board and management team in the company's long-term strategy and development. They consider the share buyback to be in the overall best interests of the company and its shareholders.
