CQRC Bank AGM Clears All 13 Proposals; Approves RMB 1.34 Billion Final Dividend and Capital Instrument Issuance

Chongqing Rural Commercial Bank Co., Ltd. (CQRC Bank) announced that shareholders passed every item on the agenda at the 2025 Annual Shareholders’ Meeting held on 28 May 2026.

Shareholder participation and voting • Attendees: 559 shareholders and proxies (556 A-share, 3 H-share). • Voting shares represented: 5.72 billion, equal to 51.82 % of the 11.04 billion voting shares outstanding (total issued shares: 11.36 billion).

Dividend payout ratified • Final cash dividend for FY 2025 set at RMB 1.1755 per 10 shares (tax inclusive), aggregating RMB 1.34 billion. • Record date for H-shareholders: 15 June 2026; payment date: 27 July 2026. • Dividends will be declared in renminbi, with H-shareholders offered a choice between RMB and HKD.

Key resolutions and approval rates 1. 2025 Board Work Report – 99.31 % in favour. 2. 2025 Financial Final Proposal – 99.62 % in favour. 3. 2025 Profit Distribution Plan – 99.99 % in favour. 4. 2026 Interim Profit Distribution Arrangement – 99.99 % in favour. 5. 2026 Financial Budget – 99.98 % in favour. 6. 2025 Annual Report – 99.17 % in favour. 7. Appointment of Deloitte Touche Tohmatsu and Deloitte Touche Tohmatsu Certified Public Accountants LLP as 2026 auditors – 97.44 % in favour. 8–9. Election of independent non-executive directors Ms. Cao Shinan and Ms. Gao Yang – both above 99.98 % in favour. 10–12. Related-party transaction mandates with Yufu Capital group, City Construction Investment group and Development Investment group – support ranged from 92.86 % to 94.23 % after interested shareholders abstained. 13. Special resolution authorising the issuance of eligible capital replenishment instruments – 99.97 % in favour.

Governance notes • Major shareholders Yufu Capital (8.70 % stake), City Investment Group (7.02 %) and Development & Real Estate Management (5.19 %) abstained from voting on the respective related-party transaction resolutions. • All directors except one non-executive director attended the meeting. • The newly elected independent directors will assume office following regulatory approval from the National Financial Regulatory Administration Chongqing Office.

Scrutineers Computershare Hong Kong Investor Services, Commerce & Finance Law Offices and a shareholder representative oversaw the poll count.

All approvals provide CQRC Bank with shareholder backing for 2026 budget execution, continued dividend delivery and additional capital-raising flexibility.
