Keep Inc. Buys Back 0.50 Million Shares, Treasury Stock Rises to 6.33 Million

Keep Inc. (HKEX: 03650) disclosed a repurchase of 500,000 ordinary shares on 26 May 2026 via on-market transactions, paying between HKD 2.49 and HKD 2.75 per share. The volume-weighted average purchase price was HKD 2.61, bringing the total cash consideration to HKD 1.30 million.

Following the transaction: • Issued shares outstanding (excluding treasury shares) fell from 504.44 million to 503.94 million, a 0.10% reduction. • Treasury shares increased to 6.33 million. • Total issued shares remained unchanged at 510.28 million.

Repurchase mandate utilisation • The board-approved mandate dated 25 June 2025 allows repurchases of up to 51.44 million shares. • Cumulative on-exchange repurchases under the mandate now stand at 10.51 million shares, representing 2.04% of the company’s issued share capital at the mandate date.

Shares pending cancellation As of 26 May 2026, 3.52 million previously repurchased shares (c. 0.70% of current issued shares) remain held for cancellation at average prices ranging from HKD 2.91 to HKD 3.98.

Post-repurchase moratorium In line with Hong Kong listing rules, Keep Inc. is restricted from issuing new shares or disposing of treasury shares until 25 June 2026—30 days after the latest buyback.

All repurchases were executed in compliance with the Hong Kong Stock Exchange Main Board Rules, and the company confirmed receipt of all relevant funds and fulfillment of regulatory requirements.
