Zhenro Services Group Limited will convene its Annual General Meeting on 26 June 2026 in Shanghai, with shareholders asked to approve the re-election of six directors whose current terms expire.
The slate comprises two executive directors (Deng Li and Wang Wei), one non-executive director (Wang Zhiming) and three independent non-executive directors (Wei Qin, Zheng Yilei and Xu Mo). All were either newly appointed or last elected between 2023 and 2026, and each is eligible for another three-year term under the company’s Articles of Association.
The Nomination Committee confirmed that: • Each candidate brings extensive expertise in property services, law, finance or corporate governance, aligning with the board-diversity policy. • Wang Zhiming received a regulatory warning from the China Securities Regulatory Commission in 2023 for a technical breach of PRC takeover rules; the board concluded the incident does not affect his integrity or suitability to continue serving.
Voting will be conducted by poll. Shareholders recorded on 26 June 2026 are entitled to attend and vote; the register of members will be closed from 23 June to 26 June 2026. Proxy forms must be lodged with Computershare Hong Kong by 3:00 p.m. on 24 June 2026.
The meeting agenda also includes adoption of the FY2025 audited financial statements, authorisation of director remuneration, and re-appointment of CCTH CPA Limited as external auditor.
