Truly International Cancels 12.85 Million Shares, Cutting Share Base by 0.44%

Truly International Holdings Limited disclosed that 12.85 million repurchased ordinary shares were cancelled on 16 July 2026. The cancellation reduced the outstanding share count from 2.95 billion to 2.93 billion, representing a 0.44% contraction in issued capital. The cancelled shares were originally bought on-market between 1 and 26 June 2026 at a volume-weighted average price of HKD 0.954, implying an outlay of roughly HKD 12.26 million.

In addition, 4.64 million shares bought back between 2 and 14 July 2026 remain in the repurchase account pending cancellation. These shares, equal to 0.16% of the current share base, were acquired at prices ranging from HKD 0.88 to HKD 0.91, translating to an estimated aggregate consideration of HKD 4.17 million. Once cancelled, the total issued shares would further decline to about 2.93 billion.

All repurchase and cancellation actions were authorised by the board and carried out in compliance with Hong Kong Stock Exchange Listing Rules, according to the company secretary’s confirmation.
