JNBY Design Limited granted share awards covering 4.42 million existing shares to 61 senior management members and employees on 8 October 2026 under its 2026 Share Award Scheme.
The awards will be funded through on-market purchases by the scheme trustee, eliminating the need for new share issuance and therefore avoiding any dilution of existing shareholders’ stakes.
One grantee, Ms. Tang Yu—special assistant to the chief creative officer and sister-in-law of executive director Ms. Li Lin—received 72,000 shares. The transaction falls under connected-party rules but is exempt from separate disclosure and independent shareholders’ approval because it forms part of her remuneration package and does not involve new shares.
Vesting is scheduled in four equal tranches of 25% each by 31 October 2027, 2028, 2029 and 2030. Awards carry no performance targets, are granted at nil consideration, and are subject to a clawback mechanism detailed in the 2026 Scheme documentation.
The closing market price of JNBY shares on the grant date was HKD 22.08. Following this allotment, the company retains capacity to issue up to 26.66 million new shares under the scheme mandate limit.
