LANCANG TEA (06911) Provides Guarantee for Subsidiary's Credit Facility Agreement

LANCANG TEA (06911) announced that its wholly-owned subsidiary, Guangzhou Kangrui Lancang Ancient Tea E-commerce Co., Ltd., entered into a Credit Facility Agreement (applicable for working capital loans without a separate loan contract) with China Merchants Bank Co., Ltd. Guangzhou Branch on April 22, 2026. The agreement, numbered 120XY260421T000197, provides a credit line of RMB 10 million. The Company and another wholly-owned subsidiary, Pu'er Lancang Ancient Tea Renhe Co., Ltd., intend to sign Irrevocable Letters of Guarantee (collectively referred to as the Guarantees) numbered 120XY260421T00019703 and 120XY260421T00019702, respectively, with China Merchants Bank. These Guarantees commit the Company and Pu'er Renhe to provide joint and several liability guarantees for all debts under the Credit Facility Agreement. The Group can broaden its financing channels, supplement operational funds, and optimize its debt structure through these agreements. The terms of the Credit Facility Agreement and the Guarantees were determined through fair negotiation between the contracting parties. The Board of Directors (including all independent non-executive directors) considers the terms to be fair and reasonable, concluded on normal commercial terms, and in the overall interests of the Company and its shareholders.
