Guangshen Railway Company Limited will seek shareholder approval at its 2025 annual general meeting (AGM) on 10 June 2026 in Shenzhen for a broad slate of corporate actions, including an A-share repurchase plan, audit firm re-appointment, updated remuneration policies and a new three-year Financial Services Agreement (FSA) with China Railway Finance Co., Ltd.
Key proposals to be voted on are:
1. RMB100 Million A-Share Buyback • Method: Centralized bidding on the Shanghai Stock Exchange. • Price cap: RMB 4.62 per share (≤150 % of the 30-day average price). • Size: Up to about 21.65 million A shares (≈0.31 % of total share capital). • Period: Within 12 months of AGM approval; all repurchased shares will be cancelled, reducing registered capital.
2. Three-Year Financial Services Agreement with China Railway Finance • Scope: Deposit, loan, settlement, bill and other permitted financial services. • Deposit cap: Maximum daily balance (including interest) of up to RMB 1.00 billion. • Loan cap (for internal control only): up to RMB 3.00 billion; loans are on normal commercial terms and exempt from Hong Kong Listing Rules approval. • Pricing: Deposit and loan rates to reference PBOC benchmarks; terms no less favourable than those offered to other CSRG group members. • GRGC and its associates (37.12 % shareholding) will abstain from voting on this resolution.
3. Auditor Re-appointment • Deloitte Touche Tohmatsu LLP proposed to audit FY 2026 financials and internal controls. • Audit fee: RMB 3.00 million, unchanged from FY 2025.
4. Governance & Remuneration Updates • New Remuneration Management System for directors and senior management. • Independent non-executive director (INED) fees set at HK$170,000 for overseas INEDs and RMB120,000 for domestic INEDs.
5. Board Re-election & New Appointments (11th Board, three-year term) • Executive Directors: Jiang Hui (Chairman), Chen Shaohong (GM), Zhou Shangde. • Non-executive Directors: Zhong Ning, Li Danjiang. • INEDs: Wang Qin (re-election), Wang Bin and Lin Liyi (new appointments). • Current INEDs Tang Xiaofan and Qiu Zilong will retire.
Meeting Logistics • AGM: 10 June 2026, 10:00 a.m., at Company headquarters, followed by separate A- and H-share class meetings. • H-share book closure: 5–10 June 2026 for meeting eligibility; 19–24 June 2026 for the proposed RMB 0.09 per-share final dividend, payable 7 August 2026.
Risk Disclosures The buyback may be curtailed if market prices exceed the cap, if regulatory conditions change or if significant operational or financial shifts occur. The company states the planned repurchase will not materially impact liquidity, leverage or day-to-day operations, with cash and cash equivalents standing at RMB 4.14 billion as of 31 December 2025.
