Yum China cancels 60.63 k shares, issues 3 new shares; total repurchases under 2026 mandate reach 3.96 million

Yum China Holdings, Inc. (Yum China) filed a Next Day Disclosure Return on 29 July 2026 detailing the latest movements in its share capital under the Hong Kong Stock Exchange’s disclosure requirements.

• Share capital change – Opening balance on 27 July 2026: 343.43 million ordinary shares in issue (excluding treasury shares). – 60,633 shares were repurchased in the U.S. on 27 July and cancelled on 28 July at a volume-weighted average price of USD 44.53 per share, reducing the share count by 0.02%. – Three new shares were issued on 28 July to satisfy awards under the company’s long-term incentive plans at an issue price equal to the 26 July closing price of USD 45.53. – Closing balance on 28 July 2026: 343.36 million shares in issue.

• Shares awaiting cancellation Between 2 July and 28 July 2026, the company repurchased 509,620 shares—437,450 shares on the Hong Kong Stock Exchange (HKD 323.99–359.00 each) and 72,170 shares on the NYSE (USD 45.35–46.14 each). These shares, representing roughly 0.15% of the latest issued share capital, have not yet been cancelled.

• Latest daily buybacks (28 July 2026) – Hong Kong: 22,000 shares repurchased on-market at HKD 352–359, for a total consideration of HKD 7.86 million. – New York: 72,170 shares repurchased on-market at USD 45.35–46.14, for a total consideration of USD 3.30 million. All repurchased shares are to be cancelled.

• Repurchase mandate utilisation Yum China’s current shareholder mandate, approved on 28 May 2026, authorises buybacks of up to 34.66 million shares. Cumulative repurchases under this mandate stand at 3.96 million shares, equivalent to 1.14% of the company’s outstanding share count on the mandate date.

The company noted that U.S. repurchases were executed under a Rule 10b5-1 plan, while Hong Kong transactions were conducted via an automatic share repurchase agreement, both through independent brokers.
