Yum China trims outstanding shares; 67.69k shares cancelled, 8.72k issued for LTIP, 1.73 million pending cancellation

Hong Kong, 16 June 2026—Yum China Holdings, Inc. filed a Next Day Disclosure Return detailing multiple capital movements up to 15 June 2026.

Reduction in issued share capital • On 15 June, the company cancelled 67,688 ordinary shares that had been repurchased on the NYSE on 12 June at an average price of USD 44.32 each. • The cancellation lowered the company’s outstanding share count by 0.02%, bringing the total number of issued shares (excluding treasury shares) to 347.33 million.

New shares for employee incentives • Also on 15 June, 8,722 new shares were issued to settle awards under Yum China’s long-term incentive plans. The shares were allotted at the 14 June U.S. closing price of USD 44.25, causing an immaterial 0.00% increase in the share base.

Ongoing buy-back activity • Between 13 March and 15 June, Yum China repurchased 1.73 million shares for cancellation in Hong Kong and the U.S.; these shares had not yet been cancelled as of 15 June. • On 15 June alone, the company bought back 67,365 shares on the NYSE at prices between USD 44.30 and USD 44.96, spending USD 3.00 million, and 22,150 shares on the Hong Kong Stock Exchange at HKD 347.80–352.00, for HKD 7.74 million. • Since the 28 May 2026 AGM, the company has repurchased 1.20 million shares under its current mandate, equivalent to 0.35% of the shares outstanding on the mandate date. The authority allows for up to 34.66 million shares to be bought back.
