SMART FISH's Subsidiary to Acquire Shenzhen Commercial Property for RMB 26 Million

SMART FISH (00139) announced that on May 15, 2026, after trading hours, the buyer, Daqi Culture (Shenzhen) Co., Ltd., and the lender, Yifeng Finance Co., Ltd. (both wholly-owned subsidiaries of the company), entered into a sale and purchase agreement with the seller, Gao Tianhao. Under the agreement, the seller agreed to sell and the buyer agreed to purchase the property for a total consideration of RMB 26 million. This consideration will be offset against the seller's outstanding debt to the lender on an equal basis. The property is an entire floor of a commercial building located in Futian District, Shenzhen, Guangdong Province, China, with a total area of approximately 987 square meters. Based on a market valuation of the property, its market value is approximately RMB 29.61 million. The property is currently vacant. The buyer intends to use the property as offices for its own business development. The seller has committed to assisting the buyer in obtaining the relevant building ownership certificate within five years from the completion date. The directors believe that the acquisition presents an investment opportunity to participate in China's real estate market. In light of the group's business development, the directors consider that establishing relevant offices in mainland China would be in the group's interest. Furthermore, the group will benefit from the long-term appreciation of real estate prices in China. The directors further note that the consideration will be settled by offsetting the outstanding debt, meaning the group will not have any cash outflow for the acquisition. Given the group's development needs and the property's potential for long-term appreciation, the directors are confident that the acquisition is beneficial to the group. Considering the above, the directors believe that the terms of the acquisition are fair and reasonable, concluded on normal commercial terms, and in the overall interests of the company and its shareholders.
