PCPD Calls 20 May 2026 Special General Meeting to Ratify Jakarta Purchase and Niseko Sale Agreements

Pacific Century Premium Developments Limited (PCPD) has issued a form of proxy for a Special General Meeting (SGM) scheduled for 20 May 2026 at 11:45 a.m. in Function Room 1−3, Level 3 IT Street, Core E, Cyberport 3, Hong Kong. The meeting will commence immediately after the company’s 2026 annual general meeting held at the same venue earlier that day.

Shareholders will vote on two ordinary resolutions:

1. Ratification, confirmation and approval of the Jakarta Share Purchase Agreement, together with all transactions contemplated under the agreement, and authorisation for any one director to execute related documents and actions.

2. Ratification, confirmation and approval of the Niseko Share Sale Agreement, together with all transactions contemplated under the agreement, and authorisation for any one director to execute related documents and actions.

Holders of PCPD shares may appoint the chairman of the meeting, any director, the company secretary, or another person as proxy. Completed proxy forms, along with any relevant powers of attorney, must be lodged with Computershare Hong Kong Investor Services Limited no later than 48 hours before the SGM in order to be valid.

The proxy form clarifies that: • Each shareholder may appoint more than one proxy if they hold two or more shares. • Proxies can vote at their discretion on resolutions properly put to the SGM if specific instructions are not indicated. • Attendance and voting in person at the SGM will automatically revoke any previously submitted proxy form.

In the event of Typhoon Signal No. 8, a black rainstorm warning or “extreme conditions” on the meeting day, shareholders are advised to check PCPD’s website or call the registrar’s hotline to confirm updated arrangements.
