Jakarta Disposal • Agreement: Jakarta Share Purchase Agreement dated 16 March 2026 • Seller: Melati Holding Limited (indirect wholly owned by PCPD) • Purchaser: Palace APAC New Infrastructure Investment GP • Assets: Entire issued share capital of the Jakarta Target plus related shareholder loans • Consideration: US$400.00 million (approximately HK$3.12 billion), subject to completion accounts adjustment • PCPD acts as guarantor; one director will be authorised to finalise documentation and any variations.
Niseko Disposal • Agreement: Niseko Share Sale Agreement dated 13 February 2026 • Seller: Media Central Investments Limited (wholly owned by PCPD) • Purchaser: Ryugu Holdco Pte. Ltd. • Assets: Entire issued share capital of the Niseko Target and related shareholder loans • Consideration: US$80.00 million • PCPD and Ipswich Holdings Limited act as guarantors; one director will be empowered to complete ancillary actions.
SGM Logistics • Venue: Function Room 1–3, Level 3 IT Street, Core E, Cyberport 3, 100 Cyberport Road, Hong Kong • Record date: 20 May 2026; share and bonus convertible note registers close 15–20 May 2026 • Shareholders may appoint proxies; proxy forms must be lodged at Computershare Hong Kong Investor Services by 18 May 2026, 11:45 a.m.
Successful passage of the resolutions will approve both divestments and grant directors authority to execute related documents and amendments deemed in the best interests of the company and its shareholders.
