JS Global taps CFO Han Run as new CEO; Chairman Wang Xuning relinquishes dual role

JS Global Lifestyle Company Limited (JS Global) announced that Chairman Wang Xuning has stepped down as Chief Executive Officer, effective 26 March 2026, to align the group’s leadership structure with Hong Kong’s Corporate Governance Code requirement for a clear separation between the roles of chairman and CEO (Code Provision C.2.1). Wang continues as executive director, chairman of the Board, and head of both the nomination and strategy committees.

Executive Director and Chief Financial Officer Han Run, aged 46, has been promoted to CEO with immediate effect. Han will receive no additional remuneration for the expanded role and will retain her positions as executive director and CFO.

Han brings nearly two decades of operational and financial leadership within the group: • Executive Director & CFO since June 2019 and Remuneration Committee member since listing. • Vice Chairwoman of Joyoung since April 2019, following senior roles at Joyoung between 2007 and 2019. • Former board secretary of Joyoung and past director of SharkNinja SPV prior to the group’s strategic restructuring.

External affiliations include Vice President of the China Household Electrical Appliances Association (since December 2015) and membership in the Shandong Jinan Committee of the CPPCC (since January 2022). Han holds an EMBA from Peking University’s Guanghua School of Management (2014) and has received multiple industry accolades, including New Fortune’s “Gold Medal Board Secretary” award in 2019.

As of the announcement date, Han is deemed interested in approximately 2.41 billion JS Global shares, representing: • 22.47 million shares held directly; • 2.38 billion shares held through family trust–controlled entities (JS&W Global and JS&W Capital); and • 5.67 million shares from restricted stock units subject to vesting.

The Board expressed appreciation for Wang’s contributions during his CEO tenure and confirmed no outstanding matters requiring shareholder attention regarding the leadership transition.

Following the change, the Board comprises three executive directors (Wang Xuning, Han Run, Huang Shuling), one non-executive director (Stassi Anastas Anastassov), and four independent non-executive directors (Yuan Ding, Yang Xianxiang, Sun Zhe, Maximilian Walter Conze).
