CONTEL (01912) has announced that the offeror intends to nominate Mr. Chong Ka Yi and Mr. Lee Byungduck as executive directors, along with Mr. Jiang Xuxi, Ms. Lv Zhuo, and Mr. Li Wei as independent non-executive directors, with effect from the earliest date permitted under Rule 26.4 of the Takeovers Code following the publication of the composite document.
Following the release of the composite document on 21 August 2026, the board has confirmed that all newly appointed directors have officially assumed their roles with immediate effect. Concurrent with this transition, several key leadership changes have been implemented across board committees and senior management positions.
Effective immediately after the composite document was issued on 21 August 2026, Mr. Chan Kwok Kuen has stepped down as chairman of the board's audit committee, while Mr. Tang Kun Lei and Mr. Lai Man Shun have ceased their roles as committee members. Similarly, Mr. Lam Keung has resigned as chairman of the nomination committee, with Mr. Lai Man Shun, Mr. Chan Kwok Kuen, and Ms. Zheng Yubi also departing from their membership positions. Mr. Lai Man Shun has additionally vacated his position as chairman of the remuneration committee, alongside Mr. Lam Keung and Mr. Tang Kun Lei who have left their committee roles.
In the new structure, Mr. Jiang Xuxi has been appointed as chairman of the audit committee, with Ms. Lv Zhuo and Mr. Li Wei joining as members. Ms. Lv Zhuo has taken on the role of chairman of the nomination committee, supported by Mr. Jiang Xuxi and Mr. Li Wei as members. Mr. Li Wei has assumed the chairmanship of the remuneration committee, with Mr. Jiang Xuxi and Ms. Lv Zhuo serving as members.
Further to these committee changes, Mr. Lam Keung has resigned as chairman of the board, with Mr. Lee Byungduck appointed as the new chairman. Mr. Lam Keung has also stepped down as chief executive officer, and Mr. Chong Ka Yi has been appointed as the company's new CEO. Additionally, Mr. Lam Keung no longer serves as one of the company's authorised representatives under Rule 3.05 of the Listing Rules and as the authorised representative for receiving legal process and notices in Hong Kong under Part 16 of the Companies Ordinance (Cap. 622), with Mr. Chong Ka Yi assuming these responsibilities.
