CA Cultural Technology Group Limited (CA Cultural) and strategic investor Kyosei-Bank Co., Ltd. executed the sixth supplemental agreements to both their share subscription and convertible bond subscription contracts on 14 April 2026. The documents extend the Long Stop Date to 30 June 2026, or a later date mutually agreed in writing. All other provisions of the original agreements remain unchanged.
The parties requested additional time to finalise and incorporate updated information into the shareholder circular covering the proposed capital reorganisation, change in board lot size, debt restructuring, new share issuance, convertible bonds, whitewash waiver, and related special deals. With the Securities and Futures Commission indicating it is minded to grant consent, the dispatch deadline for the circular has been moved from 14 April 2026 to on or before 17 April 2026. Consequently, the extraordinary general meeting has been postponed; a revised timetable will be announced in due course.
Trading in CA Cultural’s shares has been suspended since 09:00 on 21 November 2024 and will remain halted. The Stock Exchange has reiterated that listing approval for any new shares will be contingent on the company restoring and maintaining the minimum public-float requirement under Rule 8.08(1) of the Listing Rules.
Completion of the subscriptions and the broader restructuring remains subject to multiple conditions, including the granting of the whitewash waiver by the SFC and Stock Exchange approval for the listing of the subscription shares, convertible bond conversion shares, and scheme shares. The company cautions shareholders and potential investors that the restructuring may or may not proceed if these conditions are not satisfied.
