Guoquan Food to Allocate up to 100.00 million Repurchased Shares for New Incentive Scheme; Balance Set for Cancellation

Guoquan Food (Shanghai) Co., Ltd. announced that, out of the 176.10 million shares it has repurchased under general mandates approved at the 2023, 2024, and 2025 annual general meetings, no more than 100.00 million shares are earmarked as a source of stock for a forthcoming share scheme to be adopted within six months, subject to shareholder approval.

The remaining repurchased shares—estimated at up to 76.10 million—are expected to be cancelled within six months. Furthermore, all shares repurchased under the general mandate granted at the 2025 annual general meeting after this announcement will be cancelled unless otherwise required by laws, regulations, regulatory directives, or a general meeting resolution.

The board, chaired by Executive Director and CEO Yang Mingchao, stated that further updates will be provided in accordance with Hong Kong Listing Rules and applicable regulations. Shareholders and potential investors are advised to exercise caution when dealing in the company’s securities.
