UBOT HOLDING LTD. filed its Monthly Return for the period ended 30 June 2026, detailing marginal changes to its capital structure driven solely by share-option activity.

The company’s authorised share capital remained unchanged at 50.00 billion ordinary shares with a par value of HKD 0.001 each, equivalent to HKD 50.00 million.

Issued share capital increased by 110,000 ordinary shares during the month, rising to 513.82 million shares from 513.71 million—a 0.02% expansion. No treasury shares were outstanding.

The increase stemmed from the exercise of options under the 2024 Share Option Scheme (granted on 31 December 2024 at an exercise price of HKD 0.1796 per share). Option holders converted 110,000 options, providing the company with HKD 0.02 million in new equity capital. Concurrently, 550,000 options lapsed, leaving 3.25 million options outstanding. The scheme still allows for the issuance of up to 46.10 million additional shares.

UBOT HOLDING confirmed that it met the Hong Kong Exchange’s minimum public float requirement of 25% as of 30 June 2026.
