ZHAOWEI (02692) recently released the “Terms of Reference for the Strategy and ESG Committee,” outlining the committee’s composition, responsibilities, and operational procedures. The committee will assist the board of directors by focusing on the company’s long-term development strategy, major investment and financing plans, and key capital operations. It is also tasked with formulating and overseeing the company’s environmental, social, and governance (ESG) strategy and related matters.
According to the document, the committee shall comprise five directors, including at least one independent director. These individuals will primarily conduct studies, provide recommendations on strategic development and significant investment proposals, and review annual ESG disclosure documents. Decisions will be passed with the approval of more than half of all committee members.
The published guidelines detail how meetings will be convened, voting procedures, and how often members may engage external advisers, reflecting ZHAOWEI’s intent to establish transparent governance structures. The company notes that minutes will be retained for at least ten years, and any resolutions adopted will be reported in writing to the board of directors. These terms will be effective from the date on which ZHAOWEI’s H shares are listed on the Hong Kong Stock Exchange.
