SHENZHEN INVEST (00604) announced that on May 6, 2026, Shenye Wansheng, a non-wholly owned subsidiary of the company, entered into a debt offset agreement. Under this agreement, Shenye Wansheng will transfer property rights valued at approximately RMB 30.3585 million to Zhongshan Wanye, which holds a 35.17% stake in Shenye Wansheng, on behalf of Shenye Group. The transfer of these offset properties will be used to settle part of the outstanding shareholder loans owed by Shenye Wansheng to Shenye Group.
The debt offset agreement was primarily initiated due to a share transfer intent agreement signed on April 20, 2026, among Shenye Group, Zhongshan Wanke, and Zhongshan Wanye. Under this agreement, Zhongshan Wanye conditionally agreed to sell its 35.17% stake in Shenye Wansheng to Shenye Group. According to the share transfer intent agreement, Shenye Group conditionally agreed to pay an intent amount of RMB 30 million. If the intent amount is settled through the transfer of commercial or office properties, the amount may vary by no more than 2%.
The group has been actively exploring ways to optimize its asset portfolio and capital structure. The debt offset agreement provides Shenye Wansheng with a valuable opportunity to accelerate the monetization of its commercial property inventory. By utilizing relatively illiquid offset properties to settle the intent amount on behalf of the controlling shareholder, the group can effectively convert its physical property assets into immediate relief from shareholder debt. Additionally, the equivalent offset of shareholder loans will directly reduce Shenye Wansheng's financial leverage and debt burden, thereby improving its overall balance sheet position and enhancing its financial resilience.
