Qinhuangdao Port Co., Ltd. (“QHD Port”) has circulated the proxy form for its 2025 Annual General Meeting (AGM), scheduled for 10:30 a.m. on Friday, 26 June 2026 at the Feila Seaview Hotel, Qinhuangdao, Hebei Province, PRC. The document outlines seven ordinary resolutions to be put to shareholder vote:
1. Board Report for 2025 Shareholders will assess and approve the Board of Directors’ report covering the Company’s 2025 operating and governance activities.
2. 2025 Final Financial Report The meeting will consider the audited financial statements for the year ended 31 December 2025.
3. Profit Distribution Plan and Final Dividend Investors will vote on the proposed 2025 profit allocation plan, which includes the declaration of a final cash dividend. Specific payout terms will be disclosed at the meeting.
4. Re-appointment of External Auditor for 2026 The proposal seeks to extend the tenure of the incumbent external auditor and confirm its remuneration for the 2026 fiscal year.
5. Re-appointment of Internal Control Auditor for 2026 A separate resolution addresses the reappointment of the internal control auditor and approval of related fees for 2026.
6. Confirmation of 2025 Director Remuneration & 2026 Plan Shareholders will confirm actual remuneration paid to directors for 2025 and approve the remuneration framework for 2026.
7. Adoption of Remuneration Management Measures The AGM will vote on a new set of Remuneration Management Measures governing directors and senior management.
Proxy Submission Deadlines H-shareholders intending to vote by proxy must deliver the completed form, together with any applicable power of attorney, to Computershare Hong Kong Investor Services Limited no later than 24 hours before the meeting or any adjournment.
Voting Mechanics • Shareholders may appoint the AGM chairman or another designated individual as proxy. • Multiple proxies are permitted per shareholder, but voting rights may be exercised only via poll. • Joint holders may vote, with precedence given to the first-named holder on the register.
The AGM resolutions will formalize QHD Port’s 2025 financial statements, dividend distribution, auditor appointments and executive remuneration policies, setting the governance framework for the 2026 fiscal year.
