ND PAPER Anticipates Overwhelming Acceptance of Its Tender Offer for Perpetual Capital Securities

ND PAPER (HKEX: 02689) has issued an announcement regarding the early tender results of its cash offer to purchase any and all of its outstanding $400 million 14.00% priority perpetual capital securities.

The early tender period concluded at 4:00 p.m. London time on June 26, 2026. By this deadline, the principal amount of securities validly tendered and not withdrawn, qualifying for the early tender premium, was $74.3 million. This figure represents approximately 18.6% of the total outstanding principal amount of the securities that had not yet been redeemed.

Connected holders, who collectively own about 81.3% of the unredeemed principal amount, have committed to the company that they will tender all their holdings for repurchase after the conclusion of the early tender period.

Consequently, the company expects that by or before the final expiration date, at least 99.9% of the total outstanding principal amount of the securities will have been validly tendered for repurchase.
