Zhongtai Futures ratifies new Board, confirms Liu Yunzhi as General Manager after EGM vote

Hong Kong–listed Zhongtai Futures Company Limited held its second Extraordinary General Meeting of 2026 on 30 April in Jinan, approving a comprehensive slate of corporate governance changes.

• Voting turnout and results The meeting was attended—onsite and online—by shareholders or proxies holding 726.44 million shares, equal to 72.51 % of the company’s 1.00 billion issued shares (724.81 million Domestic; 277.09 million H). All eight ordinary resolutions on director elections secured at least 99.91 % support, with no abstentions and a maximum dissenting vote of 0.09 %.

• Fifth-session Board confirmed The new three-year Board (term: 30 Apr 2026 to expiry of the fifth session) comprises: 1. Executive Directors: Zhou Shunyuan (also re-elected Chairman), Liu Yunzhi, Liang Zhongwei (staff representative) 2. Non-executive Directors: Zheng Hanyin, Ming Gang, Wang Hui 3. Independent Non-executive Directors (INEDs): Chen Hua, Luo Xinhua, Meng Rujing

• Committee assignments – Zhou Shunyuan: Chair, Strategic & Development Committee – Liu Yunzhi: Chair, Risk Control Committee – Liang Zhongwei: Member, Risk Control; Remuneration & Appraisal – Zheng Hanyin: Member, Remuneration & Appraisal; Nomination – Ming Gang: Member, Strategic & Development; Risk Control; Audit – Wang Hui: Member, Strategic & Development; Audit; Nomination – Chen Hua: Chair, Remuneration & Appraisal; Member, four other committees – Luo Xinhua: Chair, Audit; Member, Remuneration & Appraisal; Nomination – Meng Rujing: Chair, Nomination; Member, four other committees

• Management changes Liu Yunzhi was appointed General Manager effective 30 April 2026 for the Board’s term. Compensation will align with the company’s senior management appraisal measures and will be disclosed in the annual report.

• Director remuneration – No director allowance: Zhou Shunyuan, Liu Yunzhi, Zheng Hanyin, Wang Hui, Liang Zhongwei (who is remunerated under his employment contract). – Annual director fees: Ming Gang – RMB 40,000; Chen Hua, Luo Xinhua, and Meng Rujing – RMB 100,000 each (after tax).

• Board transition INED Zheng Jianping retired at the close of the EGM, with formal thanks extended for his service.

All resolutions were validated by Computershare Hong Kong Investor Services Limited, acting as scrutineer, and the voting process met PRC Company Law and Hong Kong Listing Rules requirements.
